End-User License Agreement

1. Agreement to Terms

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and ControlTec, LLC ("ControlTec," "we," "us," or "our") for the use of the ControlTec Case Manager software application and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.

2. License Grant

Subject to your compliance with this Agreement, ControlTec grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes related to energy monitoring and verification.

This license does not include the right to:

  • Modify, copy, or create derivative works of the Service
  • Reverse engineer, disassemble, or decompile the Service
  • Rent, lease, lend, sell, or sublicense the Service
  • Remove or alter any proprietary notices or labels
  • Use the Service for any unlawful purpose

3. User Accounts

To access the Service, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

4. Intellectual Property

The Service and its original content, features, and functionality are owned by ControlTec, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

All rights not expressly granted in this Agreement are reserved by ControlTec.

5. Data and Content

You retain ownership of any data you submit through the Service ("User Data"). By using the Service, you grant ControlTec a limited license to use, process, and store your User Data solely for the purpose of providing the Service to you.

You are solely responsible for the accuracy, quality, and legality of your User Data.

6. Service Availability

We strive to maintain the availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CONTROLTEC DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTROLTEC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar issues transmitted through the Service

9. Indemnification

You agree to indemnify and hold harmless ControlTec, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service or violation of this Agreement.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of this Agreement.

Upon termination, your right to use the Service will cease immediately. Provisions of this Agreement that by their nature should survive termination shall survive.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

12. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will provide notice of significant changes by updating the "Last updated" date at the top of this page. Your continued use of the Service after such changes constitutes your acceptance of the new terms.
